By creating an account, accessing, or otherwise using NoviraOne, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and NoviraHealth. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

NoviraOne is a Decision Intelligence Platform designed for infrastructure and healthcare projects. It provides AI-powered feasibility analysis, risk assessment, procurement intelligence, energy analysis, digital twin capabilities, and accreditation monitoring. The Platform is intended for professional and enterprise use in support of decision-making processes.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this Platform. By using NoviraOne, you represent and warrant that you meet these eligibility requirements.

To access certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

You may use NoviraOne solely for lawful purposes and in accordance with these Terms. You agree not to: - Use the Platform in any way that violates applicable local, national, or international law or regulation. - Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or any systems or networks connected to the Platform. - Use any automated means (including bots, scrapers, or crawlers) to access or interact with the Platform without our prior written consent. - Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform. - Interfere with or disrupt the integrity or performance of the Platform or the data contained therein. - Upload or transmit any material that contains viruses, malware, or any other harmful code. - Use the Platform to generate misleading, fraudulent, or harmful content.

All content, features, functionality, software, designs, text, graphics, logos, and other materials available through NoviraOne are owned by NoviraHealth or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. "NoviraOne", "NoviraHealth", and associated logos are trademarks of NoviraHealth. You may not use, copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our express prior written consent.

You retain ownership of any data, documents, or content that you upload to the Platform ("User Content"). By uploading User Content, you grant NoviraHealth a limited, non-exclusive, worldwide license to process, store, and display such content solely for the purpose of providing and improving the Platform services. You represent and warrant that you have all necessary rights to upload such content and that it does not infringe upon any third-party rights.

NoviraOne uses artificial intelligence and machine learning models to generate analyses, recommendations, and reports. These AI-generated outputs are provided for informational and decision-support purposes only and do not constitute professional engineering advice, legal advice, financial advice, or any other form of certified professional counsel. You are solely responsible for validating and verifying any AI-generated output before relying on it for decision-making. NoviraHealth makes no warranties regarding the accuracy, completeness, or reliability of AI-generated content.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and organizational data. We implement enterprise-grade security measures, including encryption, role-based access controls, and audit logging. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

The Platform may contain links to or integrate with third-party services, websites, or applications. NoviraHealth is not responsible for the content, policies, or practices of any third-party services. Your interactions with third-party services are governed by their respective terms and policies.

We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may also update these Terms from time to time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms.

To the maximum extent permitted by applicable law, NoviraHealth and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform. In no event shall our total aggregate liability exceed the amount you have paid to NoviraHealth for use of the Platform in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless NoviraHealth and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Platform, or your infringement of any third-party rights.

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NoviraHealth is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless otherwise required by law.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and NoviraHealth regarding the use of the Platform and supersede all prior agreements, understandings, and communications.
